My Cross Walk

Terms of Service, End User License Agreement & Intellectual Property Notice

1. Definitions

“Agreement” means these Terms of Service, End User License Agreement and Intellectual Property Notice, together with the Privacy Policy and any policies incorporated by reference.

“Company” means AI Accelerator LLC, a Colorado limited liability company (“we,” “us,” or “our”). The Company’s primary website is ai-accelerator.net.

“My Cross Walk” or the “App” means the Company’s web application for daily prayer, Bible reading and Scripture memorization, offered at mycrosswalk.app, together with its website, software, features, documentation and updates.

“Your Content” means everything you enter into or record with the App, including your prayers and prayer categories, your record of prayers prayed, your Bible reading entries and notes, your log of other books you read and your notes on them, the texts you memorize and your progress, and recordings of your voice.

“Company IP” means all software code, algorithms, interfaces, databases, documentation, visual designs, trademarks, copyrights, trade secrets and all other intellectual property owned or controlled by the Company.

“Marks” means the trademarks, service marks, trade names and logos of AI Accelerator LLC, including My Cross Walk™ and AI Accelerator™.

“Administrator” means a person the Company has authorized to approve and remove users of the App.

2. About My Cross Walk

2.1 What the App Is

My Cross Walk is a personal devotional tool. It helps you keep a daily prayer list, log your Bible reading and your reading of other books, and memorize Scripture and other texts by reciting them aloud. It is private and personal: it exists to keep Your Content for you and to make it available on each device you sign in on.

2.2 Invitation Only

You sign in with a Google account, and you may use the App only after an Administrator has approved that account. Administrators may decline a request for access, and may remove any account at any time and for any reason. Removing an account permanently deletes it and Your Content, as described in the Privacy Policy.

2.3 No Charge

The App is currently provided free of charge. If we decide to charge for it, we will tell you in advance, and you will not be charged anything unless you first agree to the new terms.

3. License Grant & Restrictions

3.1 License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the App through a web browser, solely for your own personal, non-commercial use, for as long as this Agreement remains in effect and your account remains approved.

3.2 Restrictions

You may not, and may not permit any third party to:

4. Intellectual Property Rights

4.1 Copyright Notice

Copyright © 2026 AI Accelerator LLC of Colorado. All Rights Reserved.

The App’s software, source code, object code, algorithms, databases, user interfaces, graphics, text and all other expressive works of the Company embodied in or accessible through the App are protected by copyright under the U.S. Copyright Act (17 U.S.C. § 101 et seq.) and applicable international copyright treaties, including the Berne Convention and the TRIPS Agreement. No part of the App may be reproduced, distributed, transmitted, displayed, published, modified, or otherwise exploited without the prior express written permission of AI Accelerator LLC, except as expressly permitted by this Agreement or applicable law.

4.2 Trademarks

My Cross Walk™ and AI Accelerator™ are trademarks of AI Accelerator LLC. The ™ symbol denotes marks claimed under common-law trademark rights. You may not use the Marks without the Company’s prior express written permission.

4.3 Trade Secrets

The App’s non-public software, synchronization and speech-scoring methods, and technical architecture are trade secrets of the Company, protected under the Defend Trade Secrets Act (18 U.S.C. § 1836 et seq.) and the Colorado Uniform Trade Secrets Act (C.R.S. § 7-74-101 et seq.). You agree not to disclose or misuse any non-public technical information about the App that you may come across.

4.4 Reservation of Rights

The Company reserves all rights not expressly granted in this Agreement. Your use of the App does not give you any ownership interest in any Company IP.

4.5 No AI Training Use

The Company will not use Your Content to train, fine-tune, or develop artificial intelligence or machine learning models.

4.6 Feedback

If you send us suggestions, ideas, or other feedback about the App, you assign to the Company all rights in that feedback, and the Company may use it for any purpose without obligation to you.

4.7 Open Source Components

The App may include open source software components licensed under their own licenses, which are available on request at legal@ai-accelerator.net. Nothing in this Agreement limits your rights under an applicable open source license.

4.8 Copyright Concerns

Nothing you enter in the App is published or shared with other users. If you nevertheless believe the App infringes your copyright, write to legal@ai-accelerator.net with the subject line “Copyright Notice — My Cross Walk” and the details required by 17 U.S.C. § 512(c)(3).

5. Accounts, Eligibility & Your Content

5.1 Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to use the App. By accepting this Agreement, you represent and warrant that you meet this requirement and have full legal authority to enter into it.

5.2 Your Account

Your account is your Google account. You are responsible for keeping it secure and for all activity under it. Tell us at support@ai-accelerator.net if you suspect anyone else has used it.

5.3 Your Content Is Yours

You keep all ownership rights in Your Content.

5.4 Private and Personal

The Privacy Policy describes exactly what is stored, where, and for how long.

5.5 License to the Company

You grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit and process Your Content solely as necessary to provide the App to you: for example, to keep it in your account, sync it to your devices, turn your recitations into text so they can be scored, and read texts aloud when you ask. This license ends when Your Content is deleted.

5.6 Other People in Your Prayers

You may write about other people in your prayers, including their names, health and needs. Please include only what you need, and keep it private. You are responsible for what you write.

5.7 Texts You Memorize

Texts you enter to memorize, such as passages from a copyrighted Bible translation, are for your own personal study. You are responsible for having the right to use them in this way. The App never shares them with anyone.

5.8 Your Warranties

You represent and warrant that: (a) you have the right to use Your Content in the App; and (b) Your Content complies with applicable law.

5.9 Keeping Your Own Copy

Deletions in the App are permanent, and the Company keeps no backup copies of Your Content. You can download a copy of everything at any time with Backup in the App’s settings, and you are responsible for keeping any copies you want.

6. Speech Features

When you record a recitation, the recording is sent to Google Cloud Speech-to-Text to be turned into text, and the App compares that text with the passage to give you a score. When you use Listen, the passage is sent to Google Cloud Text-to-Speech to be read aloud. The Company does not keep the recordings or the audio. Scores are automated estimates: speech recognition can mishear words, so a score may not reflect how well you actually recited a passage. Use “Mark as Correct” when you know you said it right.

Daily allowance. Because these services cost money for each use, each account has a daily speech allowance, currently five (5) minutes of recitation and 3,000 characters of Listen. It resets at midnight in your time zone. Once it is used up, recitation or Listen is unavailable until the next day; everything else in the App keeps working. Administrators may give an account a larger allowance, and we may change the standard allowance.

7. Not Advice

My Cross Walk is a personal devotional tool. It does not provide religious, pastoral, medical, psychological, legal, or other professional advice or counseling, and nothing in it is a substitute for such advice. If you or someone you are praying for needs help, please contact a qualified person; in an emergency, call your local emergency number.

8. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is part of this Agreement. We do not sell your personal information.

9. Acceptable Use

You agree not to use the App to:

10. Third-Party Services

The App relies on services from Google: Google sign-in, and Google Cloud for hosting, storage and the speech features. Your Google account is governed by Google’s own terms and privacy policy. The Company is not responsible for third-party services, and your use of them is at your own risk.

11. Term & Termination

11.1 Term

This Agreement begins when you first accept it and continues until it is terminated as described here.

11.2 Termination by You

You may stop using the App at any time. To delete your account and Your Content, use Delete account in the App’s settings.

11.3 Termination by the Company

We may suspend or terminate your access if: (a) you breach this Agreement; (b) your conduct poses security, legal, or reputational harm to the Company or other users; (c) required by law or court order; (d) an Administrator removes your account (Section 2.2); or (e) we discontinue the App, in which case we will give at least thirty (30) days’ notice where practicable, so you can download a backup.

11.4 Effect of Termination

Your license ends immediately. When an account is deleted or removed, Your Content is permanently deleted as described in the Privacy Policy. Sections 4, 5.3, 12, 13, 14, 15 and 17 survive termination.

12. Disclaimer of Warranties

13. Limitation of Liability

13.1 Exclusion of Consequential Damages

13.2 Liability Cap

13.3 Essential Basis

These limitations reflect a reasonable allocation of risk for a free service and are an essential part of this Agreement. The App would not be provided without them.

14. Indemnification

You agree to indemnify, defend, and hold harmless AI Accelerator LLC and its officers, directors, employees, agents, and successors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of this Agreement; (b) Your Content; or (c) your violation of any applicable law or of anyone’s rights.

15. Governing Law & Disputes

15.1 Informal Resolution

Before starting any formal proceeding, contact us at legal@ai-accelerator.net with a written description of the dispute. We will both try to resolve it informally for thirty (30) days.

15.2 Governing Law

This Agreement is governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles.

15.3 Courts

Any dispute that is not resolved informally will be decided exclusively by the state and federal courts located in Denver County, Colorado, and you and the Company consent to their jurisdiction.

15.4 Injunctive Relief

Either party may seek emergency injunctive or other equitable relief from any court of competent jurisdiction to prevent irreparable harm, including harm from infringement of intellectual property.

16. Changes to This Agreement

We may update this Agreement or the Privacy Policy from time to time. When we do, the App will show you the new version and ask you to accept it before you continue. If you do not accept it, you may stop using the App and delete your account; the version you last accepted continues to apply until then.

17. General Provisions

17.1 Entire Agreement

This Agreement, together with the Privacy Policy, is the entire agreement between you and the Company regarding the App and supersedes all prior or contemporaneous understandings.

17.2 Severability

If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full force.

17.3 Waiver

Failure to enforce any provision is not a waiver. Any waiver must be in writing and signed by an authorized Company representative.

17.4 Assignment

You may not assign this Agreement without our prior written consent. We may assign it in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

Neither party is liable for delays caused by events outside its reasonable control, including acts of God, war, government actions, pandemics, or internet or cloud service outages.

17.6 Notices

Legal notices to the Company: legal@ai-accelerator.net, or certified mail to AI Accelerator LLC at its registered address on file with the Colorado Secretary of State.

17.7 Export Compliance

You represent that you are not subject to U.S. export restrictions and agree to comply with all applicable export control laws.

17.8 No Third-Party Beneficiaries

This Agreement does not create any third-party beneficiary rights.
